Navigating Business Valuations

Business valuation sits at the center of nearly every sophisticated estate plan and business exit strategy. But, it’s also one of the most misunderstood and most scrutinized areas by the IRS.

Using recent court cases, IRS guidance, and practical valuation examples, Thomas C. Insalaco, CFA, ASA, will unpack the issues advisors need to recognize before a valuation becomes a problem. From gifting strategies and valuation discounts to buy-sell agreements, pass-through entities, and pending business transactions, this program will highlight the questions every advisor should be asking when business value is on the table.

Designed for attorneys, financial and investment professionals, insurance advisors, trust officers, and philanthropic planners, this session will help advisors spot valuation issues earlier, avoid preventable planning missteps, and better coordinate with valuation professionals when business value is on the table.

Thomas C. Insalaco, CFA, ASA

Mercer Capital

Thomas C. Insalaco, CFA, ASA, is a Senior Vice President in Mercer Capital’s gift, estate, and income tax planning and compliance practice group. Since 2008, Tom has provided valuation consulting for gift and estate tax matters, business succession and exit planning, and buy-sell agreements. His current practice focuses primarily on valuations that substantiate the fair market value of business interests for income tax, gift, and estate planning purposes.

Tom has significant industry experience in construction and building materials, manufacturing, consumer discretionary, transportation, and investment management. Earlier in his career, he valued publicly traded companies for institutional investors as part of the equity research division of a global bank.

Tom is an active member of several estate planning councils and CFA Societies in Florida and Western New York, including board service. He regularly speaks on valuation topics for estate planning and professional advisor audiences and contributes to Mercer Capital’s Value Matters® newsletter. He has also taught equity valuation to graduate students at the University at Buffalo.

Tom holds the Chartered Financial Analyst designation and the Accredited Senior Appraiser designation.
